Terms & Conditions for Customers
The terms that govern your use of Zippyly to book rides and deliveries.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not require any physical or digital signature.

These terms and conditions ("Terms") apply when you ("you", "your", "User", or "Customer") access or use the "Zippyly" mobile application or our website at https://zippyly.com (together, the "Platform"), through any device, or use the Services (defined below) provided by Zippyly, a brand operated by Antilver Systems Private Limited (CIN: U62099KA2026PTC220880), a company incorporated under the Companies Act, 2013 (Registered Office: Bangalore, Karnataka, India) ("Zippyly", "Company", "we", "us", or "our"). Please read them carefully before using the Platform or the Services. By doing so, you confirm that you accept these Terms in full. If you do not agree, please do not use the Platform. These Terms, together with our Privacy Policy (incorporated by reference), supersede any earlier arrangement between you and us.
1. Services
We provide the following ("Services"):
- a platform to book on-demand two-wheeler ("Bike") rides provided by independent third-party captains ("Captains") ("Ride Services");
- a platform to request pick-up and drop-off of items, parcels, food, and grocery orders performed by Captains ("Delivery Services");
- a marketplace where independent retailers, stores, and restaurants ("Retailers") list products for sale, which you may order for delivery by a Captain ("Retail Orders", governed additionally by Section 21); and
- related support services (such as payment collection) offered from time to time.
Zippyly is an intermediary and technology platform; it does not itself provide transport or delivery, and does not itself sell products. The Ride and Delivery Services are rendered directly by Captains, and products sold through a Retail Order are sold directly by the Retailer, in each case as independent third parties who are not employees of Zippyly.
2. Your Representations and Undertakings
- You are at least 18 years of age. The Services are not for use by minors; you may not let anyone under 18 use Your Account or receive Services through Captains unless accompanied and supervised by you, in which case you take full responsibility for their safety.
- If we learn that you have misrepresented your age, we may deactivate your account, and you will not be entitled to raise any claim, including insurance, against us.
- These Terms create valid, binding, and enforceable obligations on you, and you are not restricted by any law or authority from using the Platform.
- You will use the Services only for lawful purposes and in line with these Terms.
- You authorise us, directly or through third parties, to collect information and verify your identity as set out in our Privacy Policy, and you will provide only true, accurate, and complete information; we are not obliged to verify it.
3. Operating the Platform
You must register and create an account ("Your Account") with accurate information and keep your credentials confidential; you are responsible for all activity under Your Account and must tell us promptly of any suspected unauthorised use. Your Account cannot be transferred or sold. We forward your booking request ("Service Request") to a Captain, who has sole discretion to accept or decline it. If accepted, we share the Captain's name, contact number, and vehicle number with you and make reasonable efforts to connect you, subject to Captain availability. A Captain may still fail to reach your pickup or decline to proceed, in which case we are not liable. We may monitor and record calls with Captains for quality and training. We do not provide the Services ourselves and act only as an intermediary.
4. Your Conduct
You will use the Services lawfully, treat Captains with respect, and not damage their vehicle or behave in a threatening, abusive, or harassing manner. The Company is not responsible for a Captain's behaviour or vehicle quality; any contract for the ride or delivery is between you and the Captain. You also agree not to: let others use Your Account or transfer it; use the Platform for unlawful or fraudulent purposes or to cause nuisance; introduce harmful code or overload the Platform; copy or distribute Platform content without permission; use an incompatible device; create duplicate accounts; abuse promotions; or dispute charges dishonestly. You will not upload or transmit content that is unlawful, infringing, obscene, misleading, harmful to minors, impersonating, or that threatens India's security or public order. We may suspend or terminate your access for breach.
5. Communications
You agree that we (directly or through affiliates or third parties) may contact you about the Platform or Services electronically (such as push notifications), by phone, WhatsApp, email, or other means, including via the phone number or email you provide. Electronic messages are deemed received within 24 hours, and postal mail within 3 business days. We are not responsible for any non-delivery or delay caused by factors beyond our control.
6. Payments
- You will pay for the Services through the in-app payment gateway or in cash to the Captain. Where we collect on a Captain's behalf, payment is remitted to the Captain's registered account; otherwise the Captain collects directly.
- Applicable rates and any cancellation fee are shown on the Platform and may be updated from time to time; it is your responsibility to stay informed.
- For UPI payments, we (through a third-party provider) may carry out bank-account and VPA validation, which you authorise.
- Payments made are non-refundable except as required by the applicable cancellation/refund terms shown at booking. For rides, an invoice may be made available to your registered email.
- We are not responsible for settling cash payments you make directly to a Captain.
7. Disclaimers
Information on the Platform is for general purposes only and is not advice. We make reasonable efforts to keep the Platform accurate and available but do not guarantee it is error-, defect-, or virus-free, and accept no liability for loss arising from delays, failures, or interruptions. The quality of the Ride and Delivery Services is the responsibility of the Captain who provides them. The Platform is provided on an "as is" and "as available" basis, and we disclaim all warranties (express, implied, or statutory) to the maximum extent permitted by law. Access may be unavailable or delayed due to the inherent nature of the internet, device or network failures, system overloads, force-majeure events, or regulatory actions. If you access the Platform from outside India, you do so at your own risk and are responsible for local-law compliance.
8. Intellectual Property
The Company (or its licensors) owns all rights and intellectual property in the Platform and its content (excluding third-party links), including design, text, graphics, software, logos, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to install and use the Platform on a device you control for your personal use. You retain rights in the information you input ("Customer Information") and grant us a licence to use it to operate and improve the Platform and Services. We may compile anonymised, aggregated statistics, which belong to us. You will not resell, sublicense, modify, reverse-engineer, frame, mirror, or build a competing product from the Platform, or run automated scripts against it.
9. Third-Party Links
The Platform may link to third-party sites or offers that we do not control; you access them at your own risk and should review their terms and privacy policies, which may set their own cookies or collect personal information.
10. Emergency SOS
The Zippyly app may offer an SOS feature to request help during a safety emergency, which routes to our support process and, where enabled, can alert your trusted contacts. Please use it only for genuine emergencies; misuse may lead to action under applicable law and our policies.
11. Term and Termination
These Terms continue indefinitely. You may end them by deleting Your Account. We may suspend or terminate your access immediately if you breach these Terms, misuse the Platform, or if we suspect fraudulent use, and need not give advance notice. We may also pursue legal action where your conduct involves fraud, misuse, or harm to us, other users, Captains, or third parties. Our failure to enforce any provision is not a waiver of our rights.
12. Indemnity and Limitation of Liability
You will indemnify and hold harmless the Company, its affiliates, and their officers, directors, agents, and employees from any claim, loss, liability, damage, or cost arising from your breach of these Terms or your use or misuse of the Platform or Services. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, punitive, or consequential damages, and our total aggregate liability arising out of or in connection with these Terms or the Services will not exceed INR 1,000 (Rupees One Thousand).
13. Data Retention, Server Availability and Backups
We take reasonable technical and organisational measures to protect and preserve data stored on our systems, but the Platform, our servers, and the third-party cloud/hosting infrastructure we rely on may, despite these measures, be affected by an outage, hardware or software failure, cyberattack, force-majeure event, or other technical failure resulting in service interruption or the loss, corruption, or unavailability of data. To the fullest extent permitted by law, neither Zippyly nor Antilver Systems Private Limited will be liable for any loss, damage, penalty, or liability (direct or indirect) arising from such loss, corruption, or unavailability of data, including data relating to your account, bookings, orders, payments, or communications. You are responsible for independently maintaining your own records and backups of any information, receipts, invoices, or communications you consider important, and should not rely on the Platform as your sole or permanent record of any transaction. We retain data only for as long as reasonably necessary for the purposes described in our Privacy Policy, applicable law, or a legitimate business purpose (such as dispute resolution, fraud prevention, or statutory record-keeping), and we do not guarantee indefinite retention or recovery of any data after your account is closed or deleted.
14. Governing Law, Jurisdiction and Dispute Resolution
These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute amicably; failing settlement within 15 days, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed mutually, conducted in English, seated in Bangalore, Karnataka, with the award being final and binding. Subject to arbitration, the competent courts in Bangalore, Karnataka will have exclusive jurisdiction.
15. Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign ours without notice.
16. Severability
If any provision is held invalid or unenforceable, it will be severed and the remaining provisions will continue in full force.
17. Changes to These Terms
We may change these Terms from time to time. Material changes will be notified by reasonable means, but it is your responsibility to review the current version on the Platform. Continued use after changes are posted means you accept them.
18. Notices
We may give notice by a general posting on the Platform, by email to your registered address, or by post to your registered address.
19. Customer Care and Grievance Redressal

Concerns about a specific Service Request or Captain should be reported promptly (and, where the matter is criminal in nature, as soon as possible after the event). Complaints, disputes, or grievances may be addressed to our Grievance Officer, handled as required by law:

20. Delivery Services — Additional Terms
- You must not request delivery of any item that is illegal, hazardous, restricted, or prohibited by law, or that requires a special permit or licence.
- You must provide accurate pickup, delivery, and return addresses. Transit runs from when the item is securely handed to the Captain until it reaches the delivery (or, if undeliverable, the return) address.
- We do not inspect or verify the contents of items; we are not responsible for loss of or damage to them. If we learn that you have used the Delivery Services for any illegal item, we may report you to the authorities.
- You confirm that you are aware of the contents you send and that they are legal. You should avoid handing over high-value items (for example, items worth INR 2,000 or more), and you remain solely responsible for any loss or damage to the items.
- Delivery fees are paid directly to the Captain as shown on the Platform; such payments are settled between you and the Captain, and we are not responsible for them.
21. Retail Orders — Additional Terms
- When you place a Retail Order, the contract of sale for the product is between you and the Retailer. Zippyly facilitates discovery, ordering, payment collection, and delivery, but is not the seller of the product and does not itself warrant the quality, safety, authenticity, or fitness of any product listed by a Retailer.
- If a product you receive is missing, incorrect, damaged, spoiled, counterfeit, or otherwise does not match its listing, report it through the App as soon as possible and, where the App requests it, provide photographs or other evidence to support your complaint — this helps us resolve it quickly and fairly for both you and the Retailer.
- You are entitled to a refund, replacement, or other remedy from the Retailer in accordance with applicable consumer-protection law (including the Consumer Protection Act, 2019 and the rules made under it), and we will facilitate that process, including, where a complaint is under investigation, by placing the corresponding payout to the Retailer on hold pending resolution.
- If you receive an item you believe to be counterfeit, unsafe, expired, or otherwise unlawful, report it through the App or to our Grievance Officer; we may investigate, remove the listing, and take the steps described in the Retailer's terms and conditions, including reporting the matter to the relevant brand owner or authorities.
- A Retailer's registered business name is shown to you before you order, and, once you have placed a confirmed order with them, their store address is made available to you within the App so you know who you are buying from.
22. Ride Insurance
The Company may facilitate, through licensed insurers, an insurance benefit for customers using Ride Services, with details available on the Platform once the Service is availed. Zippyly is not an insurer; any claim or servicing remains between you and the insurer, and we are not responsible for the insurer's acts or omissions.
